Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “User”) and Kuderium Technologies Limited, a company registered in Nigeria under the Corporate Affairs Commission with registration number RC 9493072 (“Kuderium”, “we”, “us”, or “our”).

By creating an account, clicking “I agree”, or using any Kuderium service (the “Service”), you confirm that you have read, understood, and accepted these Terms. If you do not agree, do not use the Service.

1. Who can use Kuderium

  • You must be at least 18 years old and legally capable of entering into a binding contract under Nigerian law.
  • You must be a resident of the Federal Republic of Nigeria and hold a valid Bank Verification Number (BVN), a government-issued ID, and a Nigerian bank account in your own name.
  • You must not be listed on any sanctions list maintained by the United Nations, the United States, the European Union, the United Kingdom, or the Central Bank of Nigeria.
  • You must provide truthful, complete, and current information during registration and keep it updated. We may suspend or terminate your account if any information you have provided is false, misleading, or out of date.

2. What Kuderium does

Kuderium is a conversion service. You deposit supported cryptocurrency (currently USDT, USDC, BTC, ETH, BNB, SOL and such other assets as we may add from time to time) into a Kuderium deposit address. Once the deposit confirms on-chain, we convert it at the then-prevailing rate and, depending on the payout method you select, either credit your Kuderium wallet or initiate a Naira transfer to your registered Nigerian bank account.

Kuderium is not a custodian of your fiat funds, is not a bank, is not a money-market fund, and does not pay interest on balances. Kuderium does not offer investment advice.

3. Rates, fees and limits

  • Conversion rates are market-driven and refresh frequently. The rate applied to your transaction is the rate displayed and confirmed at the moment you submit the transaction, not the rate at the time the on-chain deposit was initiated.
  • Kuderium charges a service fee on each conversion. The fee is disclosed to you before you confirm the transaction.
  • Daily transaction ceilings apply based on your verified KYC tier. Current ceilings are shown inside the app and may be adjusted from time to time.
  • Kuderium may impose additional per-user, per-device or per-IP velocity limits for fraud-prevention reasons. These limits are not negotiable.

4. KYC, AML and compliance

You must complete Know-Your-Customer (KYC) verification before you can transact. Kuderium uses third-party verification providers (currently Prembly) to verify your BVN, government ID and liveness. By submitting your verification data, you authorise Kuderium and its verification providers to process that data in line with our Privacy Policy.

Kuderium operates an Anti-Money-Laundering and Counter-Financing-of-Terrorism programme in line with applicable Nigerian law including the Money Laundering (Prevention and Prohibition) Act, 2022. We may block, delay, reverse or refund any transaction that we reasonably suspect is connected to money laundering, terrorism financing, fraud, sanctions evasion or any other unlawful activity. We may be required by law to report suspicious activity to the relevant authorities without notifying you.

5. Your responsibilities

  • Keep your account credentials, transaction PIN, and email inbox secure. You are responsible for any activity that occurs under your account.
  • Only deposit cryptocurrency on the network and to the address that Kuderium displays. Deposits sent on the wrong network, to the wrong address, or of an unsupported asset may be unrecoverable.
  • Only link Nigerian bank accounts that are in your own name. Payouts to third-party bank accounts are prohibited.
  • Do not use Kuderium for any illegal activity, including but not limited to fraud, money laundering, terrorism financing, sanctioned transactions, or the purchase of goods or services prohibited under Nigerian law.

6. On-chain transactions are final

Cryptocurrency deposits and withdrawals are settled on public blockchains and are irreversible once broadcast. Kuderium cannot retrieve, reverse or replay a transaction once it has been confirmed on-chain. You bear the risk of loss arising from any typographical error, network confusion, or compromise of your own devices.

7. Suspension, limitation and termination

Kuderium may, at its sole discretion, suspend, restrict, limit, or terminate your access to the Service (in whole or in part), reverse transactions, or freeze funds if:

  • We reasonably suspect fraud, abuse, or a breach of these Terms;
  • We are required to do so by law, regulation, or court order;
  • Your account is implicated in a chargeback, scam report, or blockchain-level compromise; or
  • The Service is being withdrawn or materially modified.

Where we are legally permitted to do so, we will tell you why.

8. Intellectual property

The Kuderium name, logo, brand mark and the design, content, code and look-and-feel of the Service are owned by Kuderium Technologies Limited and protected by Nigerian and international intellectual property law. You may not copy, reproduce, reverse engineer, or create derivative works of the Service without our prior written permission.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Kuderium disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Cryptocurrency prices are volatile. Kuderium does not guarantee any particular exchange rate, transaction speed, or availability of any specific blockchain or banking network. Delays in the underlying blockchain, Nigerian banking rails, or our third-party service providers are not within our control.

10. Limitation of liability

To the maximum extent permitted by applicable law, Kuderium, its directors, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or opportunity cost, arising out of or in connection with your use of the Service.

Our aggregate liability to you for all claims arising out of or relating to the Service will not exceed the total service fees you paid to Kuderium in the twelve (12) months immediately preceding the event giving rise to the claim, or ₦100,000, whichever is greater.

11. Indemnity

You agree to indemnify and hold harmless Kuderium and its directors, officers, employees, contractors, agents, and affiliates against any claim, loss, damage, or expense (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any information you have submitted to Kuderium being untrue, misleading or inaccurate.

12. Governing law and dispute resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms or the Service will first be attempted to be resolved amicably by the parties in good faith for a period of thirty (30) days. Failing that, the dispute will be finally settled by arbitration in Ibadan, Nigeria, under the Arbitration and Mediation Act, 2023, by a sole arbitrator appointed by mutual agreement, or failing agreement, by the Chartered Institute of Arbitrators (Nigeria Branch). The seat of arbitration is Ibadan and the language of arbitration is English.

13. Changes to these Terms

We may update these Terms from time to time. If the change is material, we will notify you by email or via an in-app notice at least seven (7) days before the change takes effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the update.
